  1. Conditions for Job Seekers “Candidates” and Developers

As a user of Imperium AI (the “Services”), you may participate as a Job Seeker (“Candidate”) seeking human based positions or as a Developer posting custom AI employees/agents to fill specific roles. Imperium AI is accessible via web browsers, iOS apps, and Android apps, allowing you to (i) search for employment or AI-oriented positions, (ii) submit applications or proposals for open listings (“Job Applications”), (iii) receive notifications by email or SMS about relevant opportunities (“Job Alerts”), and (iv) upload resumes, Virtual Resumes (90-second video pitches), images, AI demonstration videos, or other professional materials into a Profile Database (“Profile Database”). References to “resume,” “Virtual Resume,” or “Video Resume” include any text-based resumes, video introductions, code samples for AI demos, or equivalent professional background materials. If you create an Imperium AI account and submit your resume/CV/Virtual Resume/Video Resume/Images/AI demonstration videos or register for Job Alerts, you consent to Imperium AI (A) using your submitted information to suggest or display relevant positions, including roles where AI employees can fill positions; (B) showing or sharing your materials to employers or recruiters who are filling positions (human or AI-based); and (C) distributing your Virtual Resume, Video Resume, or AI demonstration videos to prospective employers. You grant Imperium AI a continuous, irrevocable, non-exclusive, royalty-free, global license (with the right to sublicense) to use, reproduce, and distribute these materials as needed for the Services. You further represent and warrant that you have all necessary rights and authority to post or submit any AI Employees, code, or related demonstrations, and that you, not Imperium AI, are solely responsible for ensuring such AI complies with local, national, or international laws and regulations.

1.1 General Guidelines for Job Applications

By applying to a job listing through Imperium AI, you authorize us to store your resumes, Virtual Resumes, Video Resumes, images, or AI demonstrations and forward them to the relevant employer. You may choose your method of submitting Job Applications using the options available through our Services. If you opt to apply via a third-party account, such as Facebook or LinkedIn.com, you will need to log into that account, and the profile and resume details you have saved on those platforms will be shared with the advertiser of the job. If you request Imperium AI to forward a message to any employer or third party, or if you apply for a job through the Services, you acknowledge that Imperium AI does not ensure that the recipient will receive, review, or respond to your message or application, nor that data transmission will be flawless. Any screening questions set by the employer are solely under the employer’s control, and should you need different screening questions or a modified application process, you must contact the respective employer directly.

1.2 Applying to Job Advertisements on an Imperium Website

When you apply to a listing on Imperium AI’s website or apps, your materials will be forwarded if you satisfy any criteria the employer has set. If you have logged out manually or if your session has expired, you will need to re-verify your email before forwarding can occur. You are accountable for keeping your resume, Virtual Resume, Video Resume, or AI demonstration data current, accurate, and updated within your account before applying to a job posting or AI-based position or opting into the Profile Database. This is to ensure employers receive the most relevant information about your or your AI Employee for developers. Imperium AI requests that employers maintain confidentiality of applicant data, we cannot ensure that your information will always be securely maintained by the recipient.

1.3 Account Creation

You can manually create an Imperium account, Import profile information from “Linkedin” or one may be automatically created for you if: You sign up for job alerts; You apply to a job advertisement using the green button on the bottom right hand of your screen, or by swiping right on the job posting you are viewing. An account automatically created for you will trigger an email with your username (typically your email address)

Upon creating an account, you receive an email prompting you to finalize your login credentials. You remain responsible for the personal or developer-related information provided. If you no longer wish to maintain an Imperium AI account, you may request closure at contact@imperiumjob.com or via your account settings.

1.4 Job Alerts

You may manually opt to receive job alerts by email or SMS. By applying to job advertisements on Imperium AI or creating an account, you may also agree to receive job alerts corresponding to your job interests. You can modify the type of alerts you receive or stop alerts at any time by unsubscribing under Job Alerts tab in your User account or contacting contact@imperiumjob.com. You can also opt out of job alerts by clicking the unsubscribe link in any job alert email or follow the instructions in an SMS alert.

1.5 Profile Database

Imperium AI offers a Profile Database where users can store resumes, CVs, Virtual Resumes, Video Resumes, images, or AI demos. By making your profile “public” within your account setting or at time of account creation:

 You allow prospective employers to discover or view your information. Your resume/CV/Virtual Resume/Video Resume/Images/AI demonstration videos will be added to the Profile Database and be visible in search within the Profile Database and  to Clients rating candidates/developers. The creation of your profile with adding data such as /CV/Virtual Resume/Video Resume/Images/AI demonstration videos implies that you consent Imperium AI to utilize your data to match you with suitable roles or inform you of potential matches.

1.6 Interactions with Other Users; Scams; Confidentiality

You bear sole responsibility for your interactions with other Imperium AI users, including employers, recruiters, or developers. You should be aware of potential risks and validate the identity or legitimacy of others independently. You should therefore be cautious about the personal information you share as part of your User Profile. Only provide contact information you are comfortable with disclosing to Clients once you have matched with an employer or recruiter. Imperium AI does not confirm user claims or postings, and you assume any associated risk when sharing personal or proprietary data. You are responsible to conduct your own diligence on potential employers and job advertisements of interest.

1.7 Circumventing

You agree not to contact or approach an employer regarding your Imperium AI profile outside the Services before a match is recognized on Imperium AI. Circumventing the match or pay-per-swipe process is prohibited and may result in suspension or termination of your account.

  1. USE OF THE SERVICES

By using Imperium AI (web, iOS, or Android), you acknowledge that Imperium AI does not validate the truthfulness, legality, or completeness of third-party content, nor does it guarantee the reliability, conduct, or identity of users.

2.1 Eligibility

You must be at least eighteen (18) or the legal age of majority where you reside to form a binding contract with Imperium AI. If you are under eighteen (18) but lawfully permitted to work in your jurisdiction, you represent that a parent or legal guardian has reviewed and accepted these Terms on your behalf. If Imperium AI has previously terminated or suspended your account, you may not use the Services unless you receive written permission from Imperium AI. By using the Services, you expressly acknowledge, agree, and request that this document and all related documents be expressed in the English language.

2.2 Contact with You by Telephone or SMS

In connection with certain features of Imperium AI’s Services, you may be asked to consent to receiving telephone calls or SMS (text) messages at the number(s) you provide. By granting this consent, you authorize Imperium AI to contact you at those numbers, potentially using an automatic telephone dialing system or an artificial/prerecorded voice to the extent permitted by the laws in your jurisdiction. You understand that agreeing to receive telephone or SMS communications is not a condition for using the Services or for purchasing any additional products or services from Imperium AI.

If you no longer wish to receive telephone calls, you may revoke your consent at any time by sending an email with the subject line “Revocation of Telephone Consent” to contact@imperiumjob.com. To stop receiving SMS messages, you can reply “STOP” to any Imperium AI text message you receive. If you opt out of or decline telephone or SMS communications, certain notifications or functionalities may be limited, but you will still be able to use most other parts of Imperium AI.

You acknowledge that Imperium AI may, but is not obligated to, monitor or record any phone calls you have with us for purposes that could include employee training, service quality, or record-keeping. You also acknowledge that not all calls are necessarily recorded or stored, and Imperium AI cannot guarantee that a specific call recording will be kept or retrieved.

2.3 Contact with You by Email

By providing an email address, you consent to receiving legally required notices and essential service-related messages from Imperium AI at that address. These messages may include updates about security, changes to these Terms, billing statements, or transactional notices pertaining to your account. If you opt in, you may also receive marketing or job alert emails related to openings, AI employee openings, pay-per-swipe recruiting options, custom AI employee solutions (such as Molly Marketing & SEO or the Medicaid Biller), or general platform improvements. You can unsubscribe from marketing messages or job alerts at any time by following unsubscribe instructions provided in these communications or by adjusting your account preferences. However, you cannot opt out of essential legal or transactional notices (such as changes to this Agreement or security notifications) unless you completely deactivate your account, as these communications are integral to providing the Services and maintaining compliance with applicable laws. Deactivating your account means you will no longer receive or have access to core service-related features, and any remaining data related to your account may be deleted or anonymized unless a legal requirement mandates retention.

2.4 User Accounts

When you create an account, you must provide accurate and complete information and update it promptly if it changes. You are responsible for safeguarding your login credentials and for all actions that occur under your username and password. You are solely responsible for the activity that occurs under your account. You are expected to use “strong” passwords (passwords that use a combination of upper and lowercase letters, numbers, and symbols) with your account.  You must exercise caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. You agree to notify us immediately of any unauthorized access to or use of your username of password or any other breach of security. If Imperium AI suspects that you have violated these Terms or engaged in unlawful or harmful conduct, we have the right to terminate, suspend, or otherwise restrict your account without notice. You agree that we will have no liability to you for any termination or suspension of our access to the Services or your account, or the deletion of information contained within such account. If you choose to sign in through a third-party service, such as LinkedIn or Facebook, you understand that Imperium AI will have access only to the data these platforms make available under their policies, and your use of LinkedIn or Facebook is subject to their respective terms and privacy requirements. By connecting to the services using a third-party service, you give us permission to store your log-in credentials for that service. Signing in through these services is entirely optional; however, by doing so, you acknowledge that any personal or professional data they provide to Imperium AI is governed by both the third party’s rules and this Agreement. You can revoke Imperium AI’s access to your LinkedIn or Facebook account at any time by adjusting your preferences on the relevant platform or in your Imperium AI account settings. If you revoke access and Imperium AI can no longer verify your credentials, it may limit or disable certain features of the Services unless you supply alternative account information.

2.5 General Rules for Use of Services

You agree not to engage in any of the following prohibited activities while using Imperium AI:

(i) copying, distributing, or disclosing any part of the Services in any medium, including by automated or non-automated “scraping,” unless explicitly allowed within Imperium AI’s features or by separate written permission;

(ii) employing any automated system, including “robots,” “spiders,” or “offline readers,” to access or interact with the Services in a way that sends more request messages than a human could reasonably produce using a normal web browser (this does not prevent Imperium AI from granting revocable permission to public search engines to index materials solely to create searchable indices, but not caches or archives);

(iii) transmitting spam, chain letters, or other unsolicited communications via the Services;

(iv) attempting to interfere with, compromise, or breach the security of our system or to decipher any transmissions to or from Imperium AI’s servers;

(v) taking any action that, in Imperium AI’s sole discretion, places an unreasonable or disproportionately large load on our infrastructure;

(vi) uploading or transmitting invalid data, viruses, worms, malware, or other harmful software agents through the Services;

(vii) collecting or harvesting personally identifiable information from the Services, except where such collection is explicitly authorized by an Imperium AI feature (for example, requesting a matched candidate’s contact details);

(viii) using the Services for any commercial solicitation beyond the authorized scope of employment, AI recruiting, or developer listings permitted by Imperium AI;

(ix) impersonating another person, misrepresenting your affiliation with an entity, engaging in fraud, or hiding your identity in a manner intended to deceive others;

(x) interfering with or disrupting the normal functioning of the Services, including tampering with how human positions or AI job advertisements are displayed;

(xi) accessing any content on the Services through means not specifically provided or approved by Imperium AI;

(xii) bypassing or trying to bypass the measures we may use to block or limit access to the Services or specific content, including protections on swipes, job postings, or content usage;

(xiii) disclosing or sharing login credentials with unauthorized parties, or granting unapproved access to your account;

(xiv) reverse engineering, decompiling, or otherwise disassembling any part of the Services,

(xv) framing or linking to information or content on the Services in a manner that misrepresents your relationship with Imperium AI or implies an endorsement not expressly granted;

(xvi) posting or submitting inaccurate, incomplete, or false information about yourself, an AI employee, or another person, or using another person’s information without consent;

(xvii) posting or submitting material that is unlawful, defamatory, offensive, discriminatory, threatening, or obscene as determined by Imperium AI in its sole discretion; and

(xviii) using any AI employee or solution on the Imperium AI platform to harm, injure, or otherwise carry out malicious acts against other people, including acts intended to harass, intimidate, defraud, or endanger public safety.

(xix) attempting to obtain, access, or otherwise acquire any of Imperium AI’s or a third party’s source code or underlying software by unauthorized means, including but not limited to hacking, scanning, or reverse engineering.

You also acknowledge that if you post or use AI-based solutions, you alone bear full responsibility for verifying legal compliance, addressing data privacy requirements, and ensuring that any AI does not infringe upon third-party rights or produce unlawful outputs. Imperium AI may, without prior notice, modify any aspect of the Services; discontinue specific features; or impose usage limits for free or paid offerings. If any change, discontinuation, or limitation materially and adversely affects your paid subscription, you may send written notice to terminate. In such cases, Imperium AI will provide a pro-rata refund of prepaid fees for Services not rendered for the remaining term, unless the termination is related to a breach of these Terms or misconduct on your part. We may also permanently or temporarily limit, condition, suspend, or terminate your access to the Services or features thereof if we reasonably determine you have violated this Agreement, acted fraudulently, or misused the Services. You are solely responsible for interactions with other Imperium AI users, including employers seeking AI employees or developers posting AI solutions. Although Imperium AI may, at its sole discretion, monitor disputes, we are under no obligation to do so and disclaim any liability for actions or inactions of others on the platform. Imperium AI does not guarantee it will enforce these Terms against any other user. If Imperium AI provides or integrates analytical or informational tools (for example, algorithmic suggestions about job or AI fit), these tools are for informational purposes only and do not constitute legal or professional advice. Imperium AI is not liable for any loss or damages arising from reliance on such tools or analytics.

  1. USER CONTENT AND USERS

3.1 Posting or Viewing User Content

Imperium AI may permit you to post or provide materials viewable by others (“User Content”). This can include, but is not limited to, job listings for human roles or custom AI employees, screening requirements, resumes/CVs, Virtual Resumes, Video Resumes, AI demonstration videos, employer or developer information, messages, and other content or data. User Content is the sole responsibility of whoever provides it. You bear full responsibility for the nature, legality, accuracy, and completeness of anything you post or submit through Imperium AI. By choosing to upload or share User Content, you acknowledge that Imperium AI does not pre-screen or verify every submission and makes no representations regarding its truthfulness or suitability. Your interactions with any User Content—whether your own or that of another user—occur at your own discretion and risk. You should therefore verify details, especially if they involve sensitive information or custom AI solutions, before relying on them. Imperium AI is not liable for any loss or damage arising from User Content you choose to view, download, or otherwise rely upon. If you post User Content related to AI employees (for example, describing the capabilities of an AI agent or uploading demonstration videos), you must ensure that it accurately reflects the AI’s nature and does not infringe upon the rights of others. You alone are responsible for confirming that you have the rights and permissions to post any content, including images, logos, AI code excerpts, or references to third parties. Imperium AI disclaims any liability for disputes that arise from inaccurate or unauthorized User Content involving AI modules or code. Although Imperium AI reserves the right to remove or refuse content that violates our Terms, relevant laws, or third-party rights, we do not guarantee the continuous review or monitoring of all submissions. If you encounter User Content you believe is unlawful, infringes your intellectual property rights, or otherwise breaches these Terms, you may notify Imperium AI at contact@imperiumjob.com. We will investigate promptly, but we are not obliged to act on every complaint absent a clear violation of our Terms or legal requirements.

3.2 Prohibited Types of User Content

The following list is meant to illustrate, rather than exhaustively define, the types of User Content that are prohibited on Imperium AI. You agree not to post or provide any content that (i) may create a risk of harm or injury to any person or property; (ii) offers instructional information about illegal or dangerous activities; (iii) involves junk or unsolicited mail, phishing, scamming, or other forms of malicious communication; (iv) provides links to material that is illegal or offensive, or solicits personal information from anyone under eighteen (18); (v) contains or promotes information or content that Imperium AI deems unlawful, harmful, abusive, racially or ethnically offensive, defamatory, harassing, humiliating, libelous, threatening, or otherwise objectionable; (vi) is illegal, including the unauthorized disclosure of insider information, trade secrets, or code you do not have a right to share; (vii) contains information you are not authorized to make available under contractual, fiduciary, or legal obligations; (viii) is false, misleading, or deliberately deceptive; (ix) violates another party’s Intellectual Property Rights (as defined below) or privacy rights; or (x) contains AI-related data, instructions, or code used to facilitate unlawful acts or harm to others, including malicious software or guidance for fraudulent behavior. For the purposes of this Agreement, “Intellectual Property Rights” refers to all existing or future rights in patents, copyrights, mask works, moral rights, rights of publicity, trademarks, trade dress, service marks, goodwill, trade secrets, and any other intellectual property rights, along with applications, registrations, renewals, and extensions thereof, in all jurisdictions. If you are posting custom AI content (for example, code segments, demonstration videos, or instructions), you confirm that you have all necessary rights to share such material and that it does not disclose proprietary or sensitive information in violation of any contractual or legal duty. If you are a client providing or submitting any listings, including those for AI roles or AI demonstrations, you further agree that such content will not include personally identifiable information about third parties without proper authorization.

3.3 No Warranties or Obligations

Imperium AI makes no representations, warranties, or promises regarding any content provided by third parties, including resumes, job listings for human or AI roles, AI demonstrations, or messages posted by users. Imperium AI acts solely as a passive conduit for displaying and distributing User Content, and we do not screen or verify the authenticity, legality, completeness, or accuracy of any such content. By using the Services, you acknowledge that you may encounter material that is incomplete, unlawful, false, misleading, offensive, or otherwise unsuitable for your purposes, and that evaluating the quality, truthfulness, and reliability of such User Content is entirely your responsibility and Imperium AI disclaims any responsibility. If you choose to rely on User Content (for example, a job advertisement or an AI demonstration purporting certain capabilities), you do so at your own risk. Although Imperium AI is under no obligation to monitor or filter User Content, we reserve the right to remove or deny access to User Content if we become aware that it (i) violates these Terms or any other agreement you have with Imperium AI; (ii) breaches any applicable law or regulation; (iii) infringes upon the rights of others; or (iv) otherwise creates liability or significant risk to Imperium AI. In such instances, Imperium AI may, at its sole discretion, reject or remove the offending content and suspend or terminate the associated user account.

3.4 User Content and the U.S. Communications Decency Act

Imperium AI is an interactive computer service provider as contemplated under Section 230 of the U.S. Communications Decency Act (“CDA”) (and analogous or equivalent laws in other jurisdictions), which is designed to limit or exclude the liability of online services for user-generated content. Under § 230(c)(1) of the CDA, a provider of interactive computer services is not deemed the publisher or speaker of content posted by others. Accordingly, Imperium AI does not assume liability for third-party User Content, including but not limited to resumes, AI demonstrations, job advertisements, or messages created and posted by other users. The fact that Imperium AI may choose to remove or restrict certain User Content does not transform Imperium AI into the content’s publisher or co-creator. Such decisions are typically made to comply with these Terms, protect users, or respond to complaints about illegality or violations of rights. Therefore, any action or inaction by Imperium AI to moderate or remove user-generated material does not negate the protections granted by § 230(c)(1). Additionally, § 230(c)(2) provides “No provider or user of an interactive computer service shall be held liable on account of (A) any action voluntarily taken in good faith to restrict access to or availability of material that the provider or user considers to be obscene, lewd, lascivious, filthy, excessively violent, harassing, or otherwise objectionable whether or not such material is constitutionally protected…” Imperium AI does not forfeit its immunity under the CDA merely by taking steps to address or remove content we believe violates these Terms, infringes rights, or poses potential harm. If you believe User Content is unlawful or violates these Terms, you may notify Imperium AI at contact@imperiumjob.com, and while we reserve the right to remove or restrict such content, we are not legally required to do so in every circumstance.

3.5 User Interactions and Assumption of Risk

You understand and agree that Imperium AI does not confirm or verify the identity of each user, whether they are seeking human candidates, AI employees, or otherwise. It is your responsibility to conduct the appropriate due diligence before communicating or interacting with other users, including but not limited to Job Seekers, employers, recruiters, AI developers, or those posting custom AI agents. You acknowledge that any interaction with other users carries inherent risks, and you assume full responsibility for all risks arising out of your communications or transactions on Imperium AI. If a dispute occurs between you and another user, you agree to pursue any available remedies directly with the individual or entity involved. By using the Services, you release Imperium AI, its affiliates, and their respective employees, directors, officers, and agents from all claims, demands, and damages of every kind—whether actual, consequential, direct, indirect, known, unknown, suspected, or undisclosed—to the maximum extent permitted by law. If you believe a user is misrepresenting themselves or posting inaccurate information about a human or AI role, you may notify Imperium AI at contact@imperiumjob.com. Nonetheless, Imperium AI is not obligated to mediate or resolve user disputes and accepts no liability for user conduct, claims, or content.

3.6 Content Disclosure

Imperium AI reserves the right to disclose User Content and information related to its provider for several reasons, including operating and providing our Services, enforcing these Terms or other agreements we have with you, fulfilling legal or regulatory requirements, responding to formal requests from governmental or law enforcement bodies, complying with court orders or subpoenas, and protecting Imperium AI’s interests where appropriate. If a credible complaint arises that any User Content you have posted, provided, or uploaded is fraudulent, misleading, unlawful, infringing, or otherwise violates the rights or interests of a third party (including intellectual property, ownership, or privacy rights), you acknowledge and agree that Imperium AI may disclose your identity and the relevant information to the complaining party or any lawful authority. Such disclosures do not render Imperium AI liable for the underlying content but serve to facilitate legal compliance and protect the rights and interests of Imperium AI and affected parties. Where practicable and unless legally prohibited, Imperium AI will attempt to notify you before disclosing your identity or related information, giving you the opportunity to respond or object. However, Imperium AI does not guarantee that such notice can or will be provided in all circumstances.

  1. USER CONTENT LICENSE GRANT

By posting, submitting, providing, or otherwise making available any User Content on Imperium AI—which may include but is not limited to resumes, Virtual Resumes, Video Resumes, AI demonstrations, job listings, employer details, images, or text-based content—you expressly grant Imperium AI a perpetual, worldwide, royalty-free, non-exclusive, transferable, and sublicensable (through multiple layers of sublicensees) license to use, reproduce, adapt, translate, publicly perform, publicly display, create derivative works from, distribute, and otherwise exploit such User Content, in whole or in part and in any form, medium, or technology now known or hereafter developed, for the purposes of providing, promoting, and improving Imperium AI’s Services. This license remains in effect even if you discontinue your use of the Services, unless otherwise required by applicable law or a specific written agreement with Imperium AI. If you are a client posting or submitting listings, advertisements, AI employees, or other materials (including logos or trademarks), you acknowledge and agree that Imperium AI has no obligation—and may be unable—to remove, recall, or delete content once it has been: (i) distributed through Imperium AI’s or its partners’ distribution channels, (ii) listed by search engines or in job alerts, or (iii) integrated into any fixed or archived media displays. Consequently, the license you grant above extends indefinitely for content already disseminated. To the extent your User Content includes trademarks, trade names, or service marks protected by law, the above license also permits Imperium AI to identify you, your organization, or your AI solution in marketing or promotional materials to highlight your use of the Services. Moreover, if you have authorized Imperium AI to access certain User Content that is hosted on another service or website you own or control, you authorize Imperium AI to retrieve or scrape that website or service solely as required to utilize that content on Imperium AI, even if that service’s terms otherwise prohibit scraping. You represent and warrant that you possess the rights, power, and authority necessary to grant the rights described herein for any User Content you provide, and that Imperium AI’s use of such User Content does not violate any law or infringe upon the rights of any third party. You further confirm that the User Content and all other information you furnish to Imperium AI is lawful, complete, accurate, truthful, and does not breach any contractual or fiduciary obligations.

  1. MOBILE SOFTWARE

To use the Imperium AI mobile applications (“Mobile Software”), you must have a compatible mobile device. Imperium AI does not warrant that the Mobile Software will function on every device or operating system. Imperium AI grants you a non-exclusive, non-transferable, revocable license to install and use one compiled code copy of the Mobile Software on a device you own or lease solely for your personal or internal business use, as permitted by this Agreement. You shall not (i) modify, disassemble, decompile, or reverse engineer the Mobile Software, except to the extent such activity is expressly allowed by law; (ii) rent, lease, loan, resell, sublicense, distribute, or otherwise transfer the Mobile Software to any third party, nor use it to provide time-sharing or similar services to others; (iii) make unauthorized copies of the Mobile Software; (iv) remove, bypass, disable, damage, or otherwise interfere with security or usage-limit features of the Mobile Software, including those that prevent copying of content or restrict use beyond authorized limitations; or (v) remove or alter copyright notices or other proprietary notices contained in or on the Mobile Software. You acknowledge that Imperium AI may occasionally release updated or upgraded versions of the Mobile Software, which may be automatically installed on your device. By using the Mobile Software, you consent to such updates and agree that your continued use is subject to the terms of this Agreement as they apply to future versions. Third-party code that may be incorporated in the Mobile Software is governed by its applicable open-source or third-party license. The foregoing license is not a sale of the Mobile Software or any copy thereof, and Imperium AI (or its third-party partners or suppliers) retains all rights, title, and interest in and to the Mobile Software. Any attempt by you to transfer rights or obligations hereunder, except as specifically permitted by this Agreement, is void. Imperium AI reserves all rights not expressly granted herein. If you acquire the Mobile Software on behalf of the U.S. Government, the following applies: Use, duplication, or disclosure of the Mobile Software by the U.S. Government is subject to the restrictions set forth in this Agreement and as otherwise provided in applicable regulations, including DFARS 227.7202-1(a), 227.7202-3(a) (1995), DFARS 252.227-7013(c)(1)(ii) (OCT 1988), FAR 12.212(a) (1995), FAR 52.227-19, or FAR 52.227-14 (ALT III), as applicable. The Mobile Software originates in the United States and is governed by United States export laws and regulations. It may not be exported or re-exported to certain countries or to certain individuals or entities prohibited from receiving such exports under U.S. laws. It may also be subject to the import and export laws of other countries. By using the Mobile Software, you agree to comply with all relevant laws and regulations concerning its use and distribution.

  1. OUR PROPRIETARY RIGHTS

This Agreement grants you only a limited license to access and use the Imperium AI Services in accordance with these Terms, and it does not convey any ownership or intellectual property interest or title in and to the Services or any materials used in connection with the Services. All software (including source code), AI models, programs, products, documentation, images, text, graphics, user interfaces, illustrations, logos, patents, trademarks, service marks, copyrights, audiovisuals, music, or other content made available through Imperium AI (the “Imperium AI Content”) are exclusively owned, licensed, or otherwise controlled by Imperium AI or its affiliates, licensors, or partners. This includes the design, structure, arrangement, selection, coordination, and “look and feel” of the content offered or accessible via Imperium AI. Imperium AI, the Imperium AI logo, and any related marks are proprietary trademarks belonging to Imperium AI or its licensors. You are not permitted to use or display these marks—such as registering them as domain names, employing them as account identifiers, or utilizing them in any search engine optimization practice—without prior written permission from Imperium AI. Except as explicitly granted herein, nothing in this Agreement shall be construed to grant you a license in or to any of Imperium AI’s Intellectual Property Rights. You agree not to sell, lease, distribute, copy, modify, adapt, publicly perform, publicly display, create derivative works of, or transmit any Imperium AI Content or materials available through the Services for any purpose not expressly allowed under these Terms. If you participate in any testing, evaluation, or provide Imperium AI with ideas, suggestions, comments, corrections, enhancements, or other feedback concerning the Services (collectively, “Feedback”), such Feedback is deemed to include a worldwide, perpetual, irrevocable, royalty-free, and transferable license for Imperium AI to use, reproduce, adapt, publish, disseminate, translate, distribute, display, and create derivative works from your Feedback, in whole or in part, and in any form, medium, or technology now known or hereafter developed, without additional approval or compensation. You hereby waive any moral rights in your Feedback to the maximum extent allowed by law and consent that Imperium AI may act on your Feedback without restriction. You agree not to submit Feedback that you are not authorized to provide, or that is false, misleading, or violates any agreement with a third party.

  1. FREE TRIALS AND PAID SERVICES FOR CLIENTS

EXCEPT AS OTHERWISE PROVIDED IN A WRITTEN AGREEMENT BETWEEN YOU AND IMPERIUM, THE FOLLOWING TERMS WILL APPLY TO CLIENTS USING PAID SERVICES. Imperium AI:7. FREE TRIALS AND PAID SERVICES FOR CLIENTS

7.1 Billing Policies

Imperium AI may charge fees for certain premium features, including pay-per-swipe recruiting for human candidates and monthly subscriptions (ranging from approximately $99.99 to $699.99) for services like Molly Marketing & SEO. Employers can post jobs for either human roles or AI employees at no initial posting fee, but they incur a per-swipe charge for right swipes—generally $3.50–$4 each, depending on the subscription plan. Each candidate is allotted five daily right swipes, with any additional swipes costing $1 to help prevent spam. Purchasing a Custom AI Employee, however, involves significantly higher fees. These one-time or recurring charges vary based on the AI’s complexity, security requirements, and the scope of integration (for example, local server hosting or offline capabilities). AI Developers will provide a quoted price or schedule of fees for AI Employees prior to purchase, and you are responsible for paying those amounts on the timeline outlined. Imperium AI may introduce new paid services or amend existing fees at its discretion, upon reasonable notice. By continuing to use any paid services after changes take effect, you accept the revised pricing. If you use Imperium AI’s paid features through a third-party partner, you must agree to that partner’s terms as well; Imperium AI is not liable for the partner’s services or practices. If you dispute part of an invoice, you must pay the undisputed portion and submit a written dispute notice to Imperium AI within thirty (30) days of the invoice date. If Imperium AI ultimately finds the dispute against you, you agree to pay the outstanding portion plus any applicable interest specified in Section 7(C). Failing to pay fees on time or resolve disputes may result in suspension or termination of your paid features.

7.2 No Refunds for Paid Services

You may cancel your subscription to Imperium AI’s paid services at any time by following the cancellation instructions provided within these Terms or on the relevant subscription page. Unless expressly stated otherwise in this Agreement, no refunds will be issued for pre-paid fees, including any partially unused service periods. If Imperium AI suspends, restricts, or terminates your access as a result of your breach of this Agreement or any other agreement you have with Imperium AI, you will not receive a refund for any unused portion of your subscription, and you remain liable for all applicable fees.

7.3 Payment Information; Taxes; Delinquent Payments

You authorize Imperium AI to allow any individual you designate in writing (or any Authorized User under your account) to view and manage all billing, payment, or tax information concerning your relationship with Imperium AI. All payment details you provide must be accurate, complete, and up to date. You agree to pay any service fees or charges incurred using your payment method, along with all applicable taxes. If Imperium AI is later required to cover taxes that were not previously charged to you, you will promptly pay those taxes once notified. If you upgrade your plan or add paid features—such as additional swipes, monthly subscription tiers for AI Employees, or an offline AI build—Imperium AI may either charge the payment method on file or issue an invoice reflecting the updated charges. If you dispute an invoice, you must submit a written notice of dispute to Imperium AI within thirty (30) days of the invoice date, while remitting payment for any undisputed portion. Should the dispute be resolved against you, you agree to pay any outstanding amounts plus interest. Late or delinquent payments may accrue interest at one-and-one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is lower, starting from the due date until the full amount is paid. You are responsible for all reasonable expenses, including collection fees, that Imperium AI incurs in recovering overdue sums. Imperium AI may, in its discretion, suspend or terminate your account, along with any AI recruiting or AI employee services, if timely payment is not received, and may bill any payment method you have on file to recover outstanding amounts.

7.4 Credit and Debit Cards

If you pay for Imperium AI’s Services using a credit or debit card, you authorize Imperium AI to charge that card for any applicable fees—whether related to subscriptions, pay-per-swipe usage, or custom AI builds—plus any relevant taxes. You represent that you have the authority to use the card on behalf of your company or organization (where applicable) and consent to receiving electronic receipts for any transactions. If your card or payment method is declined for any reason, Imperium AI may suspend or terminate your use of the Services, and you remain responsible for the full balance owed. By providing your card or other payment method, you also agree that Imperium AI may share or verify certain billing details with third parties for purposes such as credit checks, processing payments, collecting overdue amounts, and enforcing this Agreement, including any late fees. Where warranted, Imperium AI may share payment and billing information with law enforcement authorities in connection with investigations or as required by law.

7.5 Free Trials and Subscription Services (for Clients Without a Paper Contract)

Except as otherwise provided in a written agreement between you and Imperium AI (or you and one of our third-party partners), any paid subscription to Imperium AI Services will automatically renew at the end of its term unless you cancel in advance or your subscription is suspended or terminated under these Terms.

(i) Free Trial

If Imperium AI offers a free trial for select Services, you may be required to select a subscription plan and supply a valid payment method. Your card will not be charged until the free trial ends. If you do not cancel before the end of the trial, Imperium AI will automatically charge your payment method for the initial subscription term. Charges will continue unless you notify Imperium AI that you do not wish to renew your plan prior to the conclusion of that initial term.

(ii) Free Trial Cancellation

You may cancel a free trial at any point during the trial period. If Imperium AI provides an online cancellation method, follow those instructions; otherwise, you can email contact@imperiumjob.com. Upon cancellation, you will forfeit access to any trial-only features once the trial is canceled or ends, whichever comes first. If you fail to cancel before the trial’s expiration, your payment method will be charged for the subscription plan at the regular rate.

(iii) Subscription Plans and Renewals

Imperium AI subscription plans renew automatically for the selected term unless you notify Imperium AI of your intent to change or cancel before the end of your current term. Information about canceling or altering your plan typically appears on the Imperium AI website or in these Terms. Upon each renewal, the relevant fees will be automatically charged to your stored payment method or invoiced according to your chosen billing arrangement. If Imperium AI adjusts subscription fees or terms, we will notify you beforehand; continuing to use the plan after notice constitutes acceptance of the changes.

(iv) Subscription Plan Cancellation

For paid subscription plans, you may cancel at any time, effective at the end of your current term. To avoid being charged for the subsequent term, you must finalize cancellation before the next billing date. If you cancel mid-term, your account will remain active through the end of the current billing period, but no refunds will be issued for any prepaid fees, and your access to corresponding paid content or features will end upon the next billing date. If you choose not to cancel or fail to do so prior to the renewal, the subscription will renew under the same plan and rates (subject to any modifications Imperium AI has duly communicated in advance).

7.6 Suspension or Termination

(i) Suspension or Termination for Cause

Imperium AI may suspend or terminate your access to the Services, along with this Agreement, under any of the following circumstances: (A) you breach these Terms and fail to cure the breach within the period specified by Imperium AI (if any); (B) you fail to remit payment for pay-per-swipe charges, subscription fees, custom AI builds, or any other outstanding amounts; (C) you become insolvent or file for bankruptcy protection; (D) Imperium AI determines that you have repeatedly or severely violated these Terms (including misusing AI employees or engaging in fraudulent activity); (E) you display inappropriate or disruptive behavior within the Imperium AI platform; (F) you send excessive or abusive communications to Imperium AI or other users; (G) you disclose or sell user data or proprietary information without authorization; or (H) you charge job seekers for any part of the hiring process, contrary to the standards of Imperium AI’s platform. If your access is suspended or terminated for cause, you forfeit any prepaid fees and remain liable for any unpaid amounts.

(ii) Suspension or Termination for Convenience

Imperium AI may also terminate your account or this Agreement at its discretion for convenience by notifying you via email. If Imperium AI terminates for convenience, you are entitled to a pro-rata refund of any prepaid fees for Services not yet provided for the remainder of your then-current term, unless the termination is initiated due to your misconduct or breach.

(iii) Your Termination Rights

You may terminate this Agreement if Imperium AI commits a material breach and fails to cure it within ten (10) days after you provide written notice to contact@imperiumjob.com. Generally, fees are non-refundable; however, if Imperium AI does not remedy a material breach after your valid notice, you will receive a prorated refund for any Services not delivered for the remaining term of your subscription or plan.

  1. ADDITIONAL TERMS FOR JOB ADVERTISEMENT PROVIDERS

As a Client using Imperium AI’s Services, you may (i) search for potential hires or collaborators (including traditional human roles and AI Employees), (ii) view resumes, profiles, CVs, Virtual Resumes, Video Resumes, or AI demonstrations, and (iii) post and distribute Job Advertisements on your behalf or, if authorized, for a third party. This Section explains your obligations and responsibilities when you post these Listings on Imperium AI. You specifically acknowledge that if you post AI-focused Listings or rely on AI Employees, you remain solely responsible for verifying the AI’s legality, obtaining any necessary data consents, and ensuring the AI does not violate intellectual property or other laws. Imperium AI does not oversee the training, design, or functionality of third-party AI solutions and disclaims all liability relating to such AI usage.

8.1 Content Rules

When submitting, providing, posting, or distributing Job Advertisements (“Listings”), you must ensure that:

  1. The content meets applicable advertising standards and all relevant laws (e.g., labor, employment, and privacy statutes) in the jurisdictions where your Listings may be viewed.
  2. You hold the necessary rights or authorizations to let Imperium AI publish, display, or index your Listings as outlined in this Agreement.
  3. The posting, reproduction, or transmission of your Listings does not violate any laws or infringe third-party rights, including but not limited to copyright, trademark, defamation, or false advertising.
  4. Your Listings comply with these Terms, plus any AI usage guidelines or job posting rules referenced herein.
  5. You allow Imperium AI to collect and redistribute your Listings from websites or platforms you control, provided that such action does not infringe others’ rights or violate contractual obligations.

You acknowledge responsibility for any liabilities stemming from your Job Advertisements, including claims about the content, location, or distribution of these postings. You further agree to indemnify Imperium AI, its subsidiaries, directors, officers, employees, and agents from any third-party claims, costs, damages, losses, liabilities, or fees (including reasonable attorneys’ fees) arising out of your Listings or the material you provide.

You agree not to post Job Advertisements that:

  1. Contain false or misleading information.
  2. Use “hidden” keywords or irrelevant keywords to manipulate searches.
  3. Promote unrelated products or services unrelated to the specific position or AI solution.
  4. Endorse political parties, agendas, or religions that do not directly relate to the job.
  5. Advertise roles in countries under U.S. or Canadian sanctions unless expressly permitted by law.
  6. Require applicants to supply sensitive personal information (e.g., race, religion, health, sexual orientation, or union membership) unless clearly justified and allowed by law.
  7. Solicit data from minors or exploit people in any manner.
  8. Include screening criteria not legitimately tied to role requirements (for instance, imposing extraneous demands unrelated to the job’s essential functions).
  9. Represent franchises, pyramid schemes, or multi-level marketing.
  10. Require an application fee, training payments, or materials from applicants to proceed.
  11. Contain content unlawful under local, national, or international rules.
  12. Offer commission-only pay without transparent disclosure of that structure.
  13. Mandate citizenship or permanent residence if not lawfully required.
  14. Link to or promote direct competitors of Imperium AI.
  15. Do not comply with Imperium AI’s job posting or AI usage rules or applicable regulations.

Job Advertisements must follow local, national, and international requirements, particularly where labor, anti-discrimination, or privacy laws may apply.

8.2 Reporting Content Rule Violations

If you suspect content on Imperium AI violates these Content Rules or the law, including copyright or trademark infringement, email contact@imperiumai.com with “Violation of Content Rules” in the subject line. Section 10 (Infringing Content) provides additional guidelines for alleged intellectual property violations.

8.3 Publication and Distribution of Job Advertisements

By submitting Job Advertisements to Imperium AI, you recognize that Imperium AI is not required to accept, display, or propagate your Listings. Imperium AI may review or verify certain Ads or Clients to prevent fraud, enhance service quality, or for other reasons at our discretion. Imperium AI may also reveal how many Listings you have posted in certain public disclosures or if required by law.

Imperium AI attempts to distribute Job Advertisements across various channels, including third-party publishers, job boards, or via job alerts (email or text) to users who have opted in. However, Imperium AI decides which external or partner channels your Ads may appear on, does not manage how those channels choose to display or accept your Ads, and cannot guarantee that your Ads will reach or resonate with potential candidates. Third-party services may reject Ads for their own reasons, even if you paid for a “Premium Post,” and Imperium AI is not liable for any rejections or insufficient visibility, and no refunds will be provided for non-posted advertisement. By submitting a Listing, you authorize Imperium AI to index and share it through our Services and partner networks.

Imperium AI does not promise any specific volume of responses, views, or applications, nor do we guarantee the appropriateness or qualifications of any candidates or developers. It remains your responsibility to interview, perform background checks, confirm candidate or developer capabilities (including evaluating an AI Employee’s performance), and make hiring or engagement decisions. Certain channels may impose additional conditions for distribution; by using them, you agree to comply with their policies.

8.4 Authorized Users

You are responsible for all actions by individuals or entities accessing Imperium AI under your account. Each user who logs in under your credentials is considered an “Authorized User.” You agree to:

(i) Not share your login credentials or account data with unauthorized parties;

(ii) Not resell, rent, or sublicense your Imperium AI account or the Services;

(iii) Not collect or receive any payment for letting third parties use or view parts of the Services;

(iv) Ensure that Authorized Users abide by this Agreement and any other relevant rules;

(v) Promptly inform Imperium AI about any suspected abuses, unauthorized access, or security breaches; and

(vi) Cooperate with Imperium AI in investigating or enforcing any suspected violation.

Imperium AI may suspend, restrict, or terminate access for any Authorized User if it believes that user has violated or is likely to violate these Terms or other agreements with Imperium AI.

8.5 Removal of Advertisements; Enforcement; Termination

Imperium AI can remove, block, or decline to display any job advertisement or user content if, in our judgment, it breaches these Terms, infringes third-party rights, violates applicable laws or regulations, or is misleading, offensive, or fraudulent. If a third party credibly alleges your Listing is unlawful or infringing, Imperium AI may disclose your identity to them or relevant authorities.

Imperium AI reserves the right to:

  • Remove or decline to post any user-submitted materials at our discretion;
  • Take action against content that contravenes our Terms or endangers users (e.g., removing the content, restricting your account, or cooperating with law enforcement);
  • Reveal your identity to a party claiming your content infringes on their intellectual property or legal rights;
  • Seek legal recourse for any illegal or unauthorized use of Imperium AI;
  • Suspend or terminate your account without prior notice for any reason, including repeated or serious violations; and
  • Work closely with law enforcement or comply with judicial orders requesting disclosure about users posting allegedly illegal materials.

You release Imperium AI and its affiliates, directors, officers, and employees from liability linked to any actions taken during such investigations or enforcement steps.

8.6 Profile Database

If your subscription includes access to Imperium AI’s Profile Database, Imperium AI grants you a limited, non-sublicensable, revocable, and non-exclusive license to:

(1) Search the database, and

(2) View or download resumes, CVs, Virtual Resumes, Video Resumes, or AI demonstration profiles for legitimate recruiting or collaborative aims. You shall not use the Profile Database for any other purpose.

You must not deploy automated scripts to extract data, nor may you resell or sublicense the Profile Database. It is prohibited to market or sell products or services to individuals you find in the database. Imperium AI may limit access or remove certain candidate or developer data (for example, if the user opts out). If Imperium AI detects misuse, it can suspend or revoke your access. Imperium AI does not verify the precision of phone numbers or data in user resumes, and you agree to abide by all communication laws when you contact job seekers, developers, or AI owners.

8.7 Data from Third Parties: Imperium AI makes no warranties concerning third-party-supplied content. You represent that: (i) you will comply with communication, privacy, and data protection laws; (ii) you will not disclose Data from the Profile Database unless authorized; (iii) you will protect Data from unauthorized access or disclosure; (iv) Authorized Users will not share login credentials; (v) you will not use contact information for unsolicited communications; (vi) you will respect Job Seekers’ privacy choices. Imperium AI makes no warranties regarding content from third parties, including resumes/CVs.. You bear the duty to conduct due diligence on users or posted materials. Imperium AI does not ensure that candidates, AI Employees, or job seekers meet your expectations; you alone must confirm respondents meet your qualifications.

8.8 Job Seekers

Imperium AI may inform job seekers or AI developers when you interact with their data (e.g., viewing a resume or swiping right on an AI demonstration). You agree to treat any individuals or developers responding to your Listings with fairness and professionalism. Any legal claims arising from your dealings with candidates remain your responsibility, and you agree to indemnify Imperium AI for claims resulting from your violations of these Terms or other agreements with Imperium AI.

8.9 Data Protection

You commit to adopting effective measures to:

(a) prevent unauthorized or illegal processing of personal data,

(b) secure personal data from accidental destruction or loss,

(c) confirm the reliability of staff who can access personal data, and

(d) ensure security levels that match the potential harm and the nature of the data, factoring in technology costs and best practices.

You must comply with data protection and privacy laws relevant to your operations and the regions where data subjects reside. Any failure by you or your personnel to follow these laws or obligations may result in costs, damages, and claims for which you agree to indemnify Imperium AI. “Personal Data” here includes any information that can identify a natural person directly (e.g., name, phone number) or indirectly (an IP address or a unique user ID).This includes email, usernames, passwords, profile pictures, personal preferences, financial information, source code, health information, home addresses, and unique numerical identifiers like IP addresses.

8.10 Partner Platforms

If you access Imperium AI via a third-party solution—such as a job board aggregator, reseller, applicant tracking system, or marketing partner—you must limit postings to roles within your own organization unless Imperium AI has granted prior written authorization for broader usage (e.g., if you’re a staffing agency with a separate arrangement). Imperium AI can refuse or remove your access if it believes you have posted Listings for outside entities or misused the platform in violation of this Agreement, regardless of whether you are a job board, staffing agency, recruiter, or any other entity.

  1. PRIVACY AND SECURITY

For details on how Imperium AI collects, processes, shares, and stores personal data, please review our Privacy Policy. Although we employ security measures, no online system is completely invulnerable, and you acknowledge that providing personal or proprietary data carries inherent risk. Should any misuse or unlawful activity be detected (for example, violating these Terms or attempting to compromise Imperium AI’s security), Imperium AI reserves the right to record or monitor usage, disclose information as needed to fulfill legal obligations, and you may face potential civil or criminal penalties, including those under the Computer Fraud and Abuse Act of 1986 under U.S federal law.

  1. INFRINGING CONTENT

10.1 DMCA Notice Procedure (Copyrights)

Imperium AI complies with the U.S. Digital Millennium Copyright Act of 1998 (“DMCA”) for handling claims of copyright infringement in the United States, as well as equivalent legal frameworks where applicable in other jurisdictions. If you believe your copyrighted material has been copied, displayed, or used on the Imperium AI Services in a way that constitutes infringement, and you either own the copyright or are authorized to act on the owner’s behalf, you can submit a formal notice of alleged infringement (“DMCA Complaint”). If you live outside the United States, substantially similar laws in your region may also apply.

Your written DMCA Complaint must include:

  1. Signature of the Authorized Person: A physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf.
  2. Identification of the Copyrighted Work: A clear description of the copyrighted work you claim is being infringed.
  3. Location of the Infringing Material: Specific identification—preferably URLs—of the material you contend is infringing and where it is found on Imperium AI’s Services.
  4. Contact Information: Your name, postal address, telephone number, and email address, so that Imperium AI can get in touch with you if needed.
  5. Good Faith Statement: A declaration that you have a good faith belief that the allegedly infringing use is not authorized by the copyright owner, its agent, or the law.
  6. Accuracy and Authority: A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or have the authority to act on behalf of the copyright owner.

Important: If you fail to provide all the above necessary details (for instance, specific URLs or other exact references), Imperium AI may not be able to locate and act upon the content in question. Which will result in a delay in processing your DMCA notification and may require you to repeat some or all of the process. To file a counter-notification with us, you must provide a written communication that sets forth the items specified below. Please note that under Section 512(f) of the DMCA, any person who knowingly materially misrepresents that material or activity was removed or disabled by mistake or misidentification may be subject to liability. Please also be advised that we enforce a policy that provides for the termination in appropriate circumstances of users (and removal of content from users) who are infringers. Elements of Counter-Notification. To expedite our ability to process your counter-notification, please use the following format (including section numbers):

  3. Jurisdiction Statement: A statement consenting to the jurisdiction of the federal courts in the State of California, and agreeing to accept service of process from the original complaining party or their authorized agent.
  4. Good Faith Belief: A statement under penalty of perjury that you have a good faith belief that the content was removed or disabled because of a mistake or misidentification. Include the following statement: “I swear, under penalty of perjury, that I have a good faith belief that the material was removed or disabled as a result of a mistake or mis-identification of the material to be removed or disabled.”
  1. Signature: Your physical or electronic signature. For email submissions, a scanned original signature or a valid electronic signature is acceptable.

Send this counter-notification to the same DMCA Agent address or email provided above. After receiving a valid counter-notification, Imperium AI will forward it to the complainant. If that party does not notify us within ten (10) business days that a legal action has been initiated to seek a court order restraining you from re-posting or re-enabling the content, Imperium AI may, at its sole discretion, restore or re-enable the removed material. Be aware that if you live outside the U.S., filing a counter-notification may lead to legal proceedings both in your jurisdiction and in the United States.

10.3 Foreign Counter-Notification

Non-U.S. residents should understand that filing a counter-notice might involve legal consequences in their home country and in the United States. If you are uncertain about whether your posted material infringes another party’s copyright or about your legal position, it is advisable to consult an attorney well-versed in U.S. copyright law and, where appropriate, local intellectual property statutes. Filing a knowingly false or bad-faith counter-notice can result in civil or criminal penalties.

10.4 General DMCA Policy and Repeat Infringers

In keeping with the DMCA and other applicable laws, Imperium AI has adopted a policy of terminating, in appropriate circumstances, the accounts of users deemed to be repeat infringers. We may also remove or restrict content posted by users who violate others’ intellectual property rights, even if this does not constitute repeated offenses. If multiple infringement notices are filed against your account, or if there is evidence that you habitually infringe, Imperium AI reserves the right to restrict or terminate your access without prior notice.

10.5 Other Infringing Content (Trademarks or Unlawful Material)

If you believe in good faith that any content on Imperium AI is illegal, infringes upon your trademark or other intellectual property rights, or is otherwise unlawful, you should notify us at contact@imperiumjob.com. Please make sure your message includes:

10.6 Description of the Material: A detailed explanation of why the material is infringing or illegal, including references to the specific type of rights or law involved.

  1. Exact Location: Identification (URLs or other detailed location pointers) of where the offending content is found on Imperium AI Services.
  2. Your Contact Information: Provide your full name, address, telephone number, and email address so we can follow up if needed.

Upon receipt, Imperium AI will investigate the claim and, if warranted, remove or disable access to the identified content. We may disclose your identity to the individual or entity that posted the allegedly infringing or illegal material if we determine it is necessary under the law or these Terms, and we may cooperate with law enforcement if the complained-of conduct violates criminal statutes.

  1. THIRD-PARTY LINKS AND SERVICES

Imperium AI’s Services may provide links or connections to third-party websites, advertisements, products, or services. These external offerings operate independently of Imperium AI, and we do not endorse or oversee their content, practices, or policies. By choosing to interact with a third-party site or service (for example, using DocuSign for AI employee agreements or integrating SEMRUSH or MOZ for Molly Marketing & SEO analytics), you accept sole responsibility for any risks involved. Please note that Imperium AI’s Terms of Service and Privacy Policy do not govern these external entities; therefore, if you engage with them, you become subject to the third party’s own terms and privacy practices. Imperium AI disclaims any liability arising from your interactions with third parties, including any losses, damages, or disputes related to payments, shipping, returns, data usage, or contractual issues. Any dealings you enter into with an advertiser or external provider are strictly between you and that party, and Imperium AI does not guarantee or assume responsibility for the outcomes of such interactions.

  1. INDEMNITY AGREEMENT

To the fullest extent allowed by law, you agree to defend, indemnify, and hold harmless Imperium AI, its subsidiaries, and their directors, officers, board members, employees, agents, successors, and assigns from any and all claims, damages, losses, liabilities, costs, debts, and expenses (including attorneys’ fees) arising from:

(i) Your use of and access to the Services, including any data or content you transmit or receive (such as resumes, AI demonstrations, or communications with other users);

(ii) Your breach of any term of this Agreement or any other agreement with Imperium AI, including any representations and warranties you have made;

(iii) Your infringement or violation of any third party’s rights, including privacy rights or Intellectual Property Rights;

(iv) Your violation of any laws, regulations, or rules, including the U.S. Fair Credit Reporting Act and relevant data protection, email marketing laws, telemarketing regulations, or other relevant standards applicable to your usage of Imperium AI;

(v) Any claims or damages resulting from the User Content you provide or post, including job listings, AI employee details, or personal data;

(vi) Any other party’s use of the Services through your account or with your login credentials, whether or not authorized by you; and

(vii) Your intentional misconduct or negligence in connection with the Services.

You further agree that all indemnification obligations hereunder extend to any claims arising from the development, posting, licensing, or deployment of AI Employees or AI solutions through Imperium AI, including but not limited to allegations of improper data usage, noncompliance with AI regulations, or harm caused by AI-generated outputs.

By agreeing to this clause, you acknowledge responsibility for these matters, including any legal fees and costs incurred by Imperium AI while defending against or resolving such claims.

  1. NO WARRANTY

13.1 Warranty Disclaimer

This Agreement does not exclude any condition, warranty, or guarantee that cannot be excluded under applicable law. Except as specifically stated in these Terms and to the fullest extent permitted by law, Imperium AI does not guarantee any particular results from using its Services—whether for human recruiting, AI employee solutions, Custom AI Employees, or any other features. The Services are provided on an “as is” and “as available” basis, and your use is entirely at your own risk.

To the maximum extent permissible, the Services are offered without any warranties, express or implied, including, but not limited to, implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, or any other warranty that might arise under the Uniform Computer Information Transactions Act or similar laws in your jurisdiction. No oral or written advice or information provided by Imperium AI, its employees, or agents, or available through the Services, constitutes a warranty not expressly stated herein. Specifically, Imperium AI makes no warranty that:

(i) the content provided through the Services (including job postings, AI demos, or user-generated materials) is entirely accurate, compliant with every law, up-to-date, or error-free;

(ii) the Services will satisfy your requirements or expectations for success in human or AI-based recruiting;

(iii) the Services will be available constantly, securely, or without interruption;

(iv) any defects or errors in the Services will be corrected; or

(v) the Services are free of viruses or other harmful elements. Any content you download or obtain via the Services is at your own discretion, and you alone are responsible for any resulting damage to devices or data loss.

Where a warranty cannot be excluded by law, Imperium AI’s liability for breaching that warranty is limited, at Imperium AI’s option, to:

(a) in the case of goods, the repair or replacement of the goods (or equivalent), or reimbursement of the repair/replacement cost; and

(b) in the case of services, the re-provision of the services or reimbursement of the cost for re-providing them.

13.2 Universal Disclaimer

Imperium AI does not warrant, endorse, guarantee, or assume liability for any third-party product, service, or content presented or advertised by users or external providers via the Services. Imperium AI also does not mediate or oversee any transaction between you and a third-party entity, whether that involves external job boards, AI integrations, or other linked websites or services. If you elect to engage with such third parties (e.g., to purchase or hire an AI employee posted by a developer), you do so at your own discretion and subject to their separate terms. Imperium AI disclaims responsibility or liability for any harm, losses, or legal violations arising from these engagements. You expressly understand that Imperium AI provides no warranty regarding the functionality, legality, or performance of any AI Employee posted by a Developer or used by an Employer, and that all AI-based activities on the platform are solely at the user’s own risk.

Furthermore, Imperium AI makes no assurances that your use of the Services—especially regarding AI-based recruiting, offline servers, or marketing and data analytics—will fulfill any legal obligations or comply with local, national, or international regulations. You bear responsibility for ensuring that your actions, including the integration of AI employees, are conducted lawfully.

  1. LIMITATION OF LIABILITY

(A) To the fullest extent permitted by applicable law, and unless explicitly stated otherwise in this Agreement, Imperium AI and its subsidiaries, affiliates, directors, officers, employees, agents, successors, and assigns shall not be liable to you for any indirect, punitive, incidental, special, consequential, or exemplary damages, or any other form of loss that does not arise naturally from, and in the usual course of, a breach or wrongful act under this Agreement. Such disclaimed damages include (but are not limited to) lost profits, goodwill, use, or data arising from your use or inability to use the Services. Imperium AI also disclaims liability for any damage or harm caused by hacking, tampering, or unauthorized access to or use of the Services or your user account.

(B) To the maximum extent permissible by law, Imperium AI assumes no liability for:

(i) errors, inaccuracies, or omissions in any content provided through the Services,

(ii) personal injury or property damage resulting from your use of or inability to use the Services,

(iii) unauthorized access to Imperium AI’s servers or systems and/or any personal information stored therein,

(iv) interruptions or cessations of transmission from or to the Services,

(v) the introduction of malware, including bugs, viruses, worms, or Trojan horses, by any third party through the Services,

(vi) damage or loss (including data loss) arising from the use of any materials—whether posted, emailed, or otherwise made available—through the Services,

(vii) user-generated content or submissions, whether related to human roles, AI agent postings, or any other materials,

(viii) defamatory, offensive, or unlawful user or third-party conduct, and

(ix) any harm, damage, or wrongdoing caused by an AI Employee (including offline custom AI builds like a Medicaid Biller) obtained, implemented, or utilized through the Services, regardless of whether such harm arises from the AI Employee’s actions, outputs, or performance.

(C) Under no circumstances will Imperium AI, its subsidiaries, or their respective officers, directors, employees, agents, successors, and assigns be liable for claims, liabilities, obligations, damages, or costs in an aggregate amount exceeding the total fees you have paid Imperium AI in the three (3) months immediately prior to the event giving rise to the claim, or ten U.S. dollars (USD $10), whichever is lesser.

(D) The above limitations and disclaimers apply to the fullest extent permitted by law, regardless of the legal basis of liability—whether in contract, tort, negligence, strict liability, breach of statutory duty, or otherwise—and even if Imperium AI was advised beforehand of the possibility of such damages or if a remedy fails of its essential purpose.

  1. ARBITRATION AGREEMENT

This Agreement contains a clause requiring arbitration of disputes on an individual basis, to the extent permitted by the laws of your jurisdiction. You and Imperium AI each give up the right to litigate any claims in court or before a jury unless your local law disallows such waivers. You agree that any claim or relief (monetary, injunctive, or declaratory) will be sought only on an individual basis, not as part of a class or representative action.

15.1 Binding Arbitration

Unless you opt out in accordance with Section 15(B) below, you and Imperium AI agree that all disputes or claims arising out of or relating in any way to your use of Imperium AI’s Services, these Terms, or interactions with Imperium AI (including AI-based products, custom AI Employees, and other features) will be resolved exclusively through final and binding arbitration, rather than a court trial, unless you opt out as detailed below.

15.2 Initiating Arbitration

If you have a dispute with Imperium AI, you must first mail or email a written description of the dispute to Imperium AI’s Legal Department at 353 N 88th Street, Cahokia Heights, IL 62236 (or contact@imperiumjob.com if no physical address is on file). Your notice must explain the nature of the claim or dispute and the relief you seek. Both parties will try in good faith to resolve the matter informally within thirty (30) days. If no resolution is reached, arbitration may commence. Settlement offers cannot be revealed to the arbitrator until a final award is issued.

15.3 Arbitration Rules (U.S. Users)

For users in the United States and unless otherwise indicated by law or mutual agreement, arbitration shall follow the Commercial Arbitration Rules of the American Arbitration Association (“AAA”), including the Supplementary Procedures for Consumer-Related Disputes where applicable (available at www.adr.org).

  • Location and Fees: Arbitration hearings generally occur in Los Angeles, California, unless your claim is for $10,000 or less, in which case you may choose an in-person, telephonic, or document-based hearing in your county of residence. Arbitration fees, including the arbitrator’s fees, shall follow the applicable AAA rules.
  • Authority of the Arbitrator: The arbitrator must apply federal law or the law of the state that the Agreement designates, unless otherwise agreed. Either party may apply to a court of competent jurisdiction to compel or enforce arbitration, stay proceedings pending arbitration, or confirm, modify, vacate, or enter judgment on the arbitrator’s final award. Arbitration proceedings, decisions, and awards will be confidential except as required by law.                                                 15.4 Arbitration Rules (Non-U.S. Users)                                                                           Canada: For users in Canada, disputes will be administered according to the Arbitration Rules of the ADR Institute of Canada (ADRIC) (available at adric.ca), or another arbitration body agreed upon by both parties. Hearings may be in person, via documents, phone, or online, and each party’s arbitration fees will be determined by these rules.
  • Other Jurisdictions: If your jurisdiction provides separate mandatory arbitration processes, or if Imperium AI’s local arbitration procedures apply, the parties will follow the relevant rules recognized in that jurisdiction.

In each case, the arbitrator must abide by applicable law, and awards can be challenged in court if the arbitrator fails to do so. All arbitration proceedings and any resulting decisions remain confidential unless disclosure is required by law.

15.5 Opt-Out Procedure

You have the right to opt out of this Arbitration Agreement. To opt out, you must send a notice stating your name, address, email address, your intention to opt out, and your signature. This notice must be delivered in writing (by postal mail or email) within thirty (30) days of your initial use of Imperium AI’s Services or within thirty (30) days of first agreeing to these Terms, whichever is later. If you do not submit an opt-out notice within this timeframe, you will be bound by the arbitration provisions herein. Opting out will not affect other sections of this Agreement, such as choice of law, venue stipulations, or disclaimers.

15.6 Class Action Waiver

You acknowledge that any arbitration or legal proceeding under this Agreement will take place solely on an individual basis, rather than as part of a class, consolidated, or representative action. The arbitrator may not combine the claims of multiple parties, nor may the arbitrator oversee any representative or class proceeding. You further waive your right to participate as a member of a class in any lawsuit, including class actions and class arbitrations, and you waive any right to a jury trial. If a court finds that the class action waiver in this Section is unenforceable, then the entirety of this Arbitration Agreement (Section 15) will be null and void, and disputes will instead be resolved in a court of appropriate jurisdiction.

15.7 Severability

If any provision of this Arbitration Agreement is held to be unenforceable or invalid by a court or arbitrator, the remaining portions shall remain in full force and effect. However, if a court determines that the class action waiver is unenforceable, the entirety of this Arbitration Agreement shall be invalidated, and any dispute will be resolved in the courts. This arbitration provision will survive the termination of your account or use of the Services, including any claims involving Imperium AI’s AI-based offerings, such as custom AI employees or offline data solutions.

  1. TERMINATION AND SURVIVAL

Unless ended by Imperium AI, this Agreement will stay in effect for as long as you use our Services. Imperium AI reserves the right to suspend, limit, or fully terminate your access to some or all parts of the Services at any time, with or without cause, notice, or liability. You also may terminate your own use of Imperium AI Services at any point. Once your account is terminated—whether by you or Imperium AI—your license and right to use the Services immediately cease. Any sections of this Agreement that, by their nature, should survive termination (for example, ownership clauses, disclaimers, indemnifications, arbitration agreements, limitations of liability, and choice-of-law provisions) will remain in effect after your account closure or after Imperium AI discontinues your access.

  1. GENERAL TERMS

17.1 Changes to the Agreement and Services

Imperium AI reserves the right to modify, revise, or discontinue these Terms or any feature of the Services at any time, without prior notice or liability. If changes are made, the updated Terms will be posted on our website along with a new “Last Updated” date. By continuing to use Imperium AI following any modification, you agree to be bound by the revised Terms. If you do not wish to accept the changes, you must cease using the Services. In the event Imperium AI makes a material change that adversely affects your paid subscription, custom AI build, or other critical feature, we will endeavor to provide notice and offer you the opportunity to cancel or request a pro-rata refund for the unused portion of your term (unless the change is required by law or results from your breach of these Terms).

17.2 Governing Law

If you use Imperium AI within the United States, these Terms and any disputes or claims related to the Services or these Terms are governed by the laws of the State of California, excluding its conflict-of-law principles. For users outside the United States, the laws of the country in which you reside govern these Terms and any related disputes, unless your jurisdiction mandates otherwise. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. If a court or arbitrator finds the arbitration agreement unenforceable or inapplicable, disputes shall be brought in a court of competent jurisdiction within California or as otherwise required by local law.

17.3 Entire Agreement

This Agreement, including any documents or policies incorporated by reference (such as our Privacy Policy), constitutes the entire understanding between you and Imperium AI regarding your use of the Services, superseding all prior or contemporaneous proposals, communications, or agreements, whether oral or written. If a provision of these Terms is found unenforceable, the remaining parts remain in full force and effect. Any amendment, waiver, or modification to these Terms shall be valid only if in writing and signed by an authorized representative of Imperium AI.

17.4 Notices

All notices or other communications required or allowed under this Agreement must be made in writing and delivered to Imperium AI at 353 N 88th Street, Cahokia Heights, IL 62236, or by emailing contact@imperiumjob.com, unless an alternative method is specified. Imperium AI may provide you with notices by email to the address associated with your account, or through postings on the Services if circumstances warrant. You are responsible for keeping your contact information accurate. Notices sent by email are deemed received once sent, and those sent by certified or registered mail are deemed received upon delivery confirmation.

17.5 Force Majeure

Imperium AI will not be liable for any delay or failure to perform obligations under these Terms if the delay or failure stems from events beyond our reasonable control, including but not limited to natural disasters, wars, terrorism, riots, labor strikes, pandemics, embargoes, governmental actions, power or internet failures, or other similar causes. Our obligations are suspended for the duration of such events, and we will make reasonable efforts to resume the Services promptly once the conditions permit.

17.6 Relationship of the Parties

Nothing in these Terms shall be construed to form a partnership, joint venture, agency, or employment relationship between you and Imperium AI. You do not hold any authority to bind Imperium AI in any capacity, and your use of the Services does not make you an agent or representative of Imperium AI.

17.7 No Waiver

Failure by Imperium AI to exercise or enforce any right or provision under these Terms does not amount to a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Imperium AI. A waiver of any breach or right under these Terms will not imply a continuing waiver of similar or subsequent breaches or rights.

17.8 Assignment

You may not assign, delegate, or otherwise transfer your rights or obligations under these Terms without Imperium AI’s prior written approval. Imperium AI may freely assign or transfer its rights and obligations under this Agreement, in whole or in part, at its discretion (for example, in connection with a merger, acquisition, sale of assets, or corporate restructuring).

17.9 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be limited or removed to the minimum extent necessary so that the remaining provisions continue in full force and effect, preserving, as closely as possible, the original intent of the parties.

17.10 Headings

Section and subsection headings in these Terms are for convenience and organizational purposes only. They do not affect the meaning or interpretation of any provision.
